Licence Agreement

PLEASE READ CAREFULLY BEFORE DOWNLOADING ROCKALL-DB TRIAL USE SOFTWARE FROM THIS WEBSITE:

This licence agreement (Licence) is a legal agreement between you (you) and Rockall Software Limited of No 8 Calthorpe Road, Edgbaston, Birmingham, West Midlands (Licensor, us or we) for the Rockall-DB Trial Use computer software (Rockall-DB Trial Use).

We license use of Rockall-DB Trial Use to you on the basis of this Licence. We do not sell Rockall-DB Trial Use to you. We remain the owners of Rockall-DB Trial Use at all times.

OPERATING SYSTEM REQUIREMENTS: ROCKALL DB TRIAL USE REQUIRES AN IBM PC COMPATIBLE COMPUTER WITH A MINIMUM OF 1GB OF AVAILABLE MEMORY FOR ROCKALL-DB AND THE MICROSOFT WINDOWS OPERATING SYSTEM VERSION 7 (LATER VERSIONS MAY ALSO BE COMPATIBLE).

IMPORTANT NOTICE TO ALL USERS:

· BY DOWNLOADING ROCKALL DB TRIAL USE FROM THIS WEBSITE YOU AGREE TO THE TERMS OF THIS LICENCE WHICH WILL BIND YOU AND YOUR EMPLOYEES.

· IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENCE, WE WILL NOT LICENSE ROCKALL-DB TRIAL USE TO YOU AND YOU MUST DISCONTINUE THE DOWNLOADING PROCESS NOW BY CLICKING ON THE "CANCEL" BUTTON BELOW.  IN THIS CASE THE DOWNLOADING PROCESS WILL TERMINATE.

You should print a copy of this Licence for future reference.

1. DEFINITIONS

The definitions in this clause apply in this agreement.

Full Licence: the licence agreement which (if taken up by you) governs the licence by Rockall to you of Rockall-DB.

Information: information owned by Rockall and obtained by you relating to Rockall-DB Trial Use.

Purpose: use of Rockall-DB Trial Use by you for evaluation.

Rockall-DB Trial Use: the software programs which provide restricted functionality and which do not constitute Rockall-DB.

Rockall-DB: the software programs which comprise the full functionality of the software product held under licence by Rockall and which is subject to the Full Licence.

2. LICENCE

2.1 Rockall hereby grants you a personal, non-transferable, non-exclusive sub-licence to use Rockall-DB Trial Use solely for the Purpose.

2.2 You may download, install and use Rockall-DB Trial Use solely for the Purpose.

2.3 You may not make copies of Rockall-DB Trial Use nor make back-up or archival copies without prior written agreement from Rockall.

2.4 This licence may be terminated immediately by Rockall if you are in breach of any of your obligations under this agreement. The licence will be terminated upon acceptance by you of the Full Licence.

2.5 Rockall shall have no liability of any kind in any circumstances whatever to you in respect of Rockall-DB Trial Use. In particular, Rockall shall have no liability in any circumstances whatever for any data loss or corruption and you agree that you have sole responsibility for protecting your data during evaluation of Rockall-DB Trial Use.

2.6 No representations, conditions, warranties or other terms of any kind are given in respect of Rockall-DB Trial Use or the Information, and all statutory warranties and conditions are excluded to the fullest extent possible.

3. GENERAL

This agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.
